PUBLIC OFFER
for the provision of services via ASO Tools service


1. General Provisions
1.1. This document constitutes a public offer by the Service Provider addressed to any individual or legal entity (the "Customer") to conclude an agreement for the provision of services via the ASO Tools service/app under the terms set forth below.
1.2. Acceptance of this Offer occurs upon the Customer performing any of the following actions:
    - registering an account on https://asotools.dev;
    - placing and paying for a subscription;
    - using the Service functionality after registration.
1.3. The Agreement is deemed concluded from the moment of acceptance and remains valid until full performance of obligations by both Parties.
1.4. Key Terms:
    - Service Provider — entity providing services under this Offer (Tax ID: 380111907989).
    - Customer (User) — individual or legal entity accepting this Offer.
    - Service (ASO Tools) —platform at https://asotools.dev providing mobile app analytics and promotion tools.
    - Subscription — paid access to Service functionality for a defined period.
    - Tariff Plan — set of features, limits, and conditions defining the scope of Service access.


2. Subject of the Offer
2.1. The Service Provider grants the Customer access to Service functionality corresponding to the selected Tariff Plan and Subscription period.
2.2. Services are delivered online via the Service web interface. Technical specifications, features, and limitations for each Tariff Plan are published on the Service website.
2.3. The Service Provider may engage third parties to deliver Services while remaining fully responsible for their actions toward the Customer.


3. Subscription Terms and Payment
3.1. Subscriptions are activated by the Customer via the Service interface by selecting a Tariff Plan and completing payment. Pricing and billing cycles (monthly, annual) are displayed at checkout. Payment is processed electronically.
3.2. Subscriptions renew automatically for the same period at the price effective at renewal date unless cancelled in advance. By subscribing, the Customer consents to automatic recurring payments. The next billing date is displayed in the Customer’s Personal Account.
3.3. Cancellation is available anytime via Support. Cancellation stops future charges but preserves access until the end of the paid period. To prevent the next charge, cancellation must be completed at least 24 hours before the renewal date.
3.4. Refunds for an active Subscription period are not provided, except in cases of:
    - Technical errors by the Service Provider rendering the Service unusable for >50% of the paid period;
    - Duplicate or erroneous charges.
    Refund requests must be submitted within 14 days of payment.
3.5. The Service Provider may update pricing and terms. Changes apply only to new billing cycles and do not affect already paid periods. Updated terms are published on the website at least 10 days prior to taking effect.


4. Rights and Obligations of the Parties
4.1. Service Provider undertakes to:
    - Maintain Service availability at ≥95% monthly (excluding scheduled maintenance with prior notice);
    - Process and protect Customer personal data per applicable data protection laws;
    - Provide technical support via channels specified on the website.
4.2. Customer undertakes to:
    - Provide accurate information during registration and use;
    - Refrain from using the Service for illegal purposes or in violation of third-party rights;
    - Not reproduce, distribute, or commercially exploit data obtained via the Service beyond personal use;
    - Safeguard account credentials and assume liability for unauthorized access due to negligence;
    - Timely settle payments per this Offer.


5. Confidentiality
5.1. Both Parties shall maintain confidentiality of information received during execution of this Offer.
5.2. Personal data is processed solely for service delivery purposes in compliance with the Service Provider’s Privacy Policy (available at https://asotools.dev).
5.3. "Confidential Information" includes all non-public data exchanged between Parties (personal data, technical details, business information), unless explicitly excluded herein.


6. Liability
6.1. Parties bear liability for breach of obligations per applicable law.
6.2. The Service Provider is not liable for:
    - Service unavailability caused by third parties (ISPs, hosting providers);
    - Losses resulting from inaccurate information provided by the Customer;
    - Consequences of unauthorized account access due to Customer’s failure to secure credentials.
6.3. The Customer bears full responsibility for unlawful use of the Service.


7. Force Majeure
7.1. Parties are exempt from liability for non-performance due to circumstances beyond reasonable control: natural disasters, war, epidemics, government actions, mass network outages, etc.
7.2. The affected Party must notify the other Party within 5 business days of force majeure occurrence.
7.3. If force majeure persists beyond 30 calendar days, either Party may terminate the Agreement unilaterally.


8. Term and Amendments
8.1. This Offer enters into force upon publication on the Service website and remains valid until withdrawn by the Service Provider.
8.2. The Service Provider may amend terms unilaterally. Updated terms take effect upon publication on the website.
8.3. Continued use of the Service after amendments constitutes full acceptance of revised terms.
8.4. Amendments do not apply retroactively to already paid Subscription periods.


9. Dispute Resolution
9.1. Parties shall resolve disputes through good-faith negotiations.
9.2. Pre-trial (claim) procedure is mandatory. Response period to a claim: 10 business days.
9.3. Unresolved disputes shall be settled in court at the Service Provider’s location under the laws of the Russian Federation.


10. Final Provisions
10.1. The Agreement and all related relations are governed by the legislation of the Russian Federation.
10.2. The official language of the Agreement and all communications is Russian.
10.3. Failure to enforce any term does not constitute waiver of future enforcement rights.
10.4. If any provision is deemed invalid, the remainder of the Offer retains full legal force.
10.5. Links to third-party websites are for informational purposes only. The Service Provider bears no responsibility for content or damages arising from such external resources.
